Terms of Service

By creating an account or using Ringmate ("the Service"), you agree to these terms. Please read them carefully.

1. The Service

Ringmate provides automated SMS replies to missed business calls. We give business customers a forwarding phone number; when a call to that number goes unanswered, we send a one-time SMS to the caller.

2. Account Eligibility

You must be at least 18 years old, a legal business owner or authorized representative, and located in a region where Ringmate operates. You agree to provide accurate information during signup and to keep it current.

3. Acceptable Use & SMS Compliance

You agree not to use Ringmate to:

• Send marketing or promotional SMS messages — only transactional callbacks are permitted
• Send messages to phone numbers that have opted out (replied STOP)
• Send messages to phone numbers that have not contacted your business or otherwise provided their number to you
• Send content that is illegal, harmful, defamatory, harassing, obscene, or fraudulent
• Send content involving sex, hate, alcohol, firearms, or tobacco (SHAFT)
• Impersonate another business or individual
• Violate any applicable law including the Telephone Consumer Protection Act (TCPA), CAN-SPAM, CTIA messaging principles, or carrier policies including A2P 10DLC requirements
• Attempt to reverse-engineer, scrape, or abuse the Service

Consent requirement: You represent and warrant that every phone number receiving SMS through your Ringmate account has either (a) initiated contact with your business by phone, or (b) provided their phone number to your business through a documented opt-in mechanism. You are solely responsible for maintaining records of consent and for honoring opt-out requests.

Indemnification: You agree to indemnify and hold Ringmate harmless from any claims, fines, or penalties arising from your violation of SMS compliance laws or carrier policies, including TCPA claims and carrier non-compliance fees.

We may suspend or terminate accounts that violate these rules. SMS content that violates carrier policies (A2P 10DLC) may be blocked by carriers even before reaching the recipient, and repeat violations may result in account termination without refund.

4. Billing and Subscriptions

Plans are billed monthly through Stripe. Subscriptions begin after the 14-day free trial ends and continue until cancelled. You may cancel at any time from your dashboard; cancellation takes effect at the end of the current billing period. We do not provide refunds for partial months.

We may change pricing with 30 days' advance notice by email. Continued use after a price change constitutes acceptance.

5. Free Trial

New accounts receive a 14-day free trial with full access to the Service. No credit card is required to start the trial. To continue after the trial, you must add a valid payment method. Trials may not be combined with other promotions, and one trial is permitted per business.

6. Phone Numbers

Phone numbers provisioned through Ringmate remain the property of our telephony provider and are assigned to you for the duration of your active subscription. When a subscription ends, the assigned number is released and cannot be guaranteed to be available again.

7. Service Availability

We strive for high availability but do not guarantee uninterrupted service. Outages may occur due to maintenance, third-party provider issues, or events beyond our control. We are not liable for missed messages caused by network failures, carrier blocks, or recipient devices.

8. Customer Data and Privacy

Your use of the Service is also governed by our Privacy Policy. You retain ownership of all data you upload or generate through the Service. You grant us a limited license to process this data only as needed to provide the Service.

9. Intellectual Property

Ringmate, the logo, the website, and all related software are the exclusive property of Ringmate. You receive a non-exclusive, non-transferable license to use the Service while your subscription is active. No part of the Service may be copied, modified, or redistributed without written permission.

10. Disclaimer of Warranties

The Service is provided "as is" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Service will be error-free or that SMS messages will be delivered to every recipient.

11. Limitation of Liability

To the maximum extent permitted by law, Ringmate's total liability for any claim arising from your use of the Service is limited to the amount you paid us in the three months prior to the claim. We are not liable for indirect, incidental, consequential, or punitive damages.

12. Termination

You may cancel your account at any time. We may suspend or terminate your account if you violate these terms, fail to pay, or use the Service in a way that puts Ringmate or other users at risk. Upon termination, your data is retained for 90 days then permanently deleted (see Privacy Policy).

13. Changes to These Terms

We may update these terms from time to time. We will notify active account holders of significant changes by email. Continued use after changes take effect constitutes acceptance.

14. Governing Law

These terms are governed by the laws of the State of California, United States, without regard to its conflict of law principles. Any disputes shall be resolved exclusively in the state or federal courts located in California.
